1. Introduction

Welcome to Perkwise. These Terms of Service ("Terms") govern your access to and use of the Perkwise website, services, and platform located at www.perkwise.co (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority or do not agree with these Terms, you must not access or use our Services.

2. Definitions

In these Terms:

• "Account" means a unique account created for you to access our Services.
• "Content" means any text, images, videos, audio, or other material that is posted, uploaded, linked to, or otherwise made available through our Services.
• "Employer" means any user who accesses our Services to research, compare, or review employee benefits providers.
• "User", "you", and "your" refer to any individual who accesses or uses our Services.
• "Vendor" means any employee benefits provider who lists their services on our platform.
• "We", "us", and "our" refer to Perkwise.

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you may be required to register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your Account credentials and for any activities or actions under your Account. You agree to notify us immediately of any unauthorized use of your Account. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

3.3 Age Requirement

Our Services are intended solely for users who are 18 years of age or older. By accessing or using our Services, you represent and warrant that you are at least 18 years old.

4. User Conduct

4.1 General Conduct

When using our Services, you agree not to:

a) Violate any applicable law, regulation, or these Terms;

b) Infringe the rights of others, including privacy and intellectual property rights;

c) Use our Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services;

d) Attempt to gain unauthorized access to any part of the Services, other Accounts, or any systems or networks connected to the Services;

e) Use any robot, spider, or other automated device to access the Services for any purpose without our express written permission;

f) Introduce any malware, viruses, trojan horses, worms, logic bombs, or other harmful material;

g) Collect or harvest any information from the Services, including personal information, without authorization;

h) Impersonate or attempt to impersonate Perkwise, a Perkwise employee, another user, or any other person or entity;

i) Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.

4.2 User Content Guidelines

When submitting Content to our Services, you agree not to post Content that:

a) Is false, inaccurate, or misleading;

b) Is defamatory, obscene, pornographic, vulgar, offensive, or promotes discrimination, bigotry, racism, hatred, or harm against any individual or group;

c) Infringes any patent, trademark, trade secret, copyright, or other intellectual property right of any party;

d) Contains personal or identifying information about another person without their explicit consent;

e) Constitutes unauthorized or unsolicited advertising, promotional materials, junk mail, spam, or any other form of solicitation;

f) Contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or hardware.

4.3 Review Guidelines

When posting reviews on our Services, you agree to:

a) Base your review on your genuine experience with the employee benefits provider;

b) Provide factually accurate information;

c) Not post reviews on behalf of or at the direction of others;

d) Not post reviews in exchange for compensation of any kind, unless properly disclosed;

e) Not post reviews that contain confidential information of your employer or the benefits provider.

5. Content

5.1 User Content Ownership

You retain ownership of any Content you submit, post, or display on or through our Services. By submitting, posting, or displaying Content on or through our Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content in any and all media or distribution methods now known or later developed.

5.2 Content Monitoring

We have the right, but not the obligation, to monitor and edit all Content provided by users. We reserve the right to remove or refuse to post any Content that violates these Terms or that we find objectionable for any reason.

5.3 Content Accuracy

While we strive to maintain accurate and up-to-date information on our Services, we make no representations or warranties about the accuracy, reliability, completeness, or timeliness of any Content on our Services, including vendor profiles and user reviews.

6. Vendor-Specific Terms

6.1 Vendor Accounts

If you register as a Vendor, you represent and warrant that all information provided in connection with your Vendor profile is accurate and that you have the right to offer the employee benefits services described in your profile.

6.2 Vendor Content

As a Vendor, you retain ownership of the Content you submit for your profile. By submitting Content for your Vendor profile, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content in any and all media or distribution methods now known or later developed.

6.3 Vendor Reviews

We do not guarantee favorable reviews for any Vendor. We do not allow Vendors to remove or edit reviews unless they violate our review guidelines. Vendors may respond to reviews through our platform.

6.4 No Endorsement

We do not endorse any Vendor or the quality of their services. Inclusion of a Vendor on our platform does not imply our endorsement or recommendation.

7. Intellectual Property Rights

7.1 Perkwise Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Perkwise, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal or internal business purposes.

7.3 Trademark Notice

Perkwise, the Perkwise logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Perkwise or its affiliates. You must not use such marks without our prior written permission.

7.4 Feedback

If you provide us with any feedback or suggestions regarding our Services, you hereby assign to us all rights in such feedback and agree that we shall have the right to use and act on such feedback without any restriction or obligation to you.

8. Third-Party Links and Services

8.1 Third-Party Links

Our Services may contain links to third-party websites or services that are not owned or controlled by Perkwise. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

8.2 Third-Party Services

We may partner with third parties to provide certain services related to our platform. Your use of such third-party services may be subject to additional terms and conditions provided by those third parties.

9. Disclaimers

9.1 "As Is" and "As Available"

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

9.2 No Warranties

Perkwise and its affiliates do not warrant that a) the Services will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Services are free of viruses or other harmful components; or d) the results of using the Services will meet your requirements.

9.3 Information Accuracy

We do not guarantee the accuracy, completeness, or usefulness of information on our Services, including vendor information and user reviews. Any reliance you place on such information is strictly at your own risk.

10. Limitation of Liability

10.1 Exclusion of Damages

To the maximum extent permitted by applicable law, in no event shall Perkwise, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, including but not limited to direct, indirect, special, incidental, consequential, or punitive damages, arising out of or in connection with your use of, or inability to use, the Services.

10.2 Limitation of Liability

If, notwithstanding the other provisions of these Terms, Perkwise is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Services, Perkwise's liability shall in no event exceed the greater of (a) the total of any fees paid by you to Perkwise in the six months prior to the action giving rise to the liability, or (b) £100.00.

10.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Perkwise, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Termination

12.1 Termination by You

You may terminate your Account at any time by contacting us and requesting termination.

12.2 Termination by Us

We may terminate or suspend your Account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

12.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. If your Account is terminated for any reason, you may no longer have access to any Content you have submitted to the Services, though certain Content may remain visible to other users.

12.4 Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

14.3 Waiver and Severability

The failure of Perkwise to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in effect.

14.4 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Perkwise on the Services, shall constitute the entire agreement between you and Perkwise concerning the Services.

14.5 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Perkwise's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. Perkwise may assign or transfer these Terms, at its sole discretion, without restriction.

14.6 Notices

Any notices or other communications provided by Perkwise under these Terms will be given by posting to the Services or by email to the address you provide when registering for an Account.
